   Registered Agent Information   

Business entities are required by law to appoint a registered agent when they form a business—and to have a local registered agent in every state where they transact business.

This requirement for a registered agent or registered agent service came about as an aspect of due process. Due process states that before a lawsuit or other legal action can move forward in the courts, all parties must be properly notified. The most basic function of a registered agent is to ensure your business is properly notified when involved in a lawsuit. The registered agent will forward all state and legal documents.

Please note, that registered agent information is required and we cannot proceed without it.

You may choose to have Veil serve as your registered agent, or select another service. If you choose Veil as your registered agent we do have an annual renewal fee of $120.00. If you have any questions about these services please do not hesitate to call us at 877-313-1043.

   FinCEN BOIR Filing   

Business entities are now required by federal law to file a "beneficial ownership information report" to FinCEN.

In accordance with the requirements for FinCEN's initial BOIR filing. A company applicant is required to be included in the filing. By definition, any individual who directly files the document that creates or registers the company (entity); or if more than one person is involved, the individual who is primarily responsible for directing or controlling the filing are considered company applicants and are required to be listed on the BOIR Filing.

**In this instance where you, the client, have elected Veil to assist with your entity creation, according to these requirements, you are considered the primary company applicant who is directing/controlling the filing and Veil will be considered the secondary company applicant who is directly filing the creation documents.
