What is a Statement of Organizer?
The Statement of Organizer is an internal document that relieves "the Organizer" (also known as the Authorized Person filing for the business) of an entity of their duties. The document assigns the LLC ownership to its members or managers directly. Essentially the LLC members are the owners of the entity.
Although, it is not a required document for state registration, it does eliminate any contest to the ownership of an LLC.
